Terms of Service

These Terms of Service (“Terms”) govern access to and use of the FYSA website, applications, and related services (the “Service”). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

FYSA provides situational awareness and related drafting tools for dual-use and defense-tech business development and capture operators. The Service is designed to work with publicly available information (PAI) and customer-supplied commercial workspace content. Outputs may include summaries, rankings, campaign drafts, presentations, and digests.

FYSA is a commercial software service. It is not a U.S. government system, not a System of Records under the Privacy Act, and not authorized for Controlled Unclassified Information (CUI) or classified processing.

You must provide accurate account information and keep credentials and one-time codes confidential. Organization administrators control membership, roles, and certain workspace settings. You are responsible for activity under your account and for your organization’s users.

We may suspend or terminate access for security risk, non-payment (where applicable), or violation of these Terms.

Permitted. Use of PAI and other non-controlled commercial information for legitimate business development, capture, and related operational awareness, consistent with applicable law and third-party terms.

Prohibited. You must not upload, store, process, transmit, or instruct the Service to handle:

• Classified information
• CUI (marked or unmarked) or materials requiring CUI handling
• Federal Contract Information that your contracts or policies forbid placing in commercial SaaS
• Export-controlled technical data or technology (including ITAR/EAR controlled content) that is not already lawfully public as PAI
• Content you do not have rights to use, or content that infringes others’ rights
• Malware, unlawful surveillance tooling instructions, or content intended to harass, dox, or unlawfully target individuals

If you discover prohibited data in your workspace, you must remove it immediately and notify us at legal@fysa.ai. We may delete such content and suspend access to protect the Service and other customers.

You will not:

• Probe, disrupt, or bypass security or access controls
• Scrape the Service except through documented APIs we expressly allow
• Resell, sublicense, or provide the Service to third parties except as agreed in writing
• Misrepresent FYSA outputs as official government determinations
• Use the Service to make employment, credit, insurance, or similarly significant decisions about individuals solely from automated outputs without human review where required by law
• Violate export controls, sanctions, or anti-corruption laws

Customer Content means data you submit to the Service (profiles, notes, media, lists, prompts, and similar). You retain your rights in Customer Content. You grant FYSA a non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service for you.

PAI and derived views may be assembled from public or commercial sources. Source sites remain subject to their own terms. FYSA does not guarantee completeness, accuracy, or continued availability of any source.

The Service software, branding, and FYSA-originated templates remain FYSA’s intellectual property. Feedback you provide may be used to improve the Service without obligation to you.

Features may use machine learning or large language models to summarize, rank, draft, or transform information. Outputs can be incomplete, outdated, or incorrect. You are responsible for human review before relying on outputs for business, communications, or compliance decisions. Outputs are not legal, export-control, security, or procurement advice.

Non-public Customer Content should be treated as confidential by FYSA and used only as needed to provide the Service, except for information that is or becomes public through no fault of FYSA, was independently developed, or must be disclosed by law. PAI collected from public sources is not Customer confidential information merely because it appears in your workspace views.

The Service may integrate third-party platforms (for example identity, email, retrieval, or model providers) and may link to external sites. Third-party services are governed by their own terms and privacy notices. FYSA is not responsible for third-party content or outages.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYSA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FYSA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT PAI OR OUTPUTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYSA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. FYSA’S AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO FYSA FOR THE SERVICE IN THAT PERIOD, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID FEES.

You will defend and indemnify FYSA against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your introduction of prohibited data (including CUI or classified information), your misuse of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate access immediately for material breach, legal risk, or harm to the Service or others. Upon termination, your right to access the Service ends. Sections that by nature should survive (including intellectual property, disclaimers, limitations, and indemnity) will survive.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction, except that FYSA may seek injunctive relief in any jurisdiction to protect its rights.

We may modify these Terms by posting an updated version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.
